Terms of Service

Welcome to PHX ("the Platform"), operated from Phoenix, Arizona. By creating an account or using the Platform you agree to these Terms.

1. The Service

PHX is a city culture platform offering music streaming, a community feed, and (as they launch) local perks across food, events, fashion, and more. Membership tiers: Explorer (free), Native, and Insider (paid monthly subscriptions).

2. Accounts

You must be 13 or older to use PHX and 18 or older to purchase a subscription or receive artist payouts. You are responsible for your account credentials and for all activity under your account. One person may operate multiple Pages (artist, business, brand) under a single account.

3. Subscriptions & Billing

Paid memberships bill monthly through our payment processor (Stripe) until cancelled. You can cancel anytime; access continues through the end of the paid period. Membership fees fund artist payouts and platform operations — including the technology, moderation, support and city programming that keep PHX running. Fees are non-refundable except where required by law.

Beta period. While PHX is in beta, billing is not active and no payouts are being made. Listening is tracked and carries forward, but nothing shown in the app during beta represents money owed to any artist or member.

3a. Your monthly receipt

Members receive a monthly summary naming the artists their listening supported, ranked by share of their own listening. Receipts show which artists you supported, not per-artist dollar amounts. PHX does not publish individual artist earnings, and artists' earnings are visible only to that artist and PHX administrators.

4. Community Rules

You may not post content that: threatens or incites violence; constitutes hate speech or harassment; sexually exploits anyone (especially minors — zero tolerance, reported to NCMEC); doxxes private information; is spam or fraud. Content may be removed and accounts suspended or terminated for violations. Automated filters plus human review enforce these rules; you may report any content via the ⚠️ button.

5. Streaming Integrity

Artificially inflating streams (bots, scripts, coordinated repeat plays, paying for plays) is prohibited. PHX employs technical countermeasures and may withhold payouts derived from artificial streaming, remove content, and terminate accounts involved. Determinations rest with PHX in its reasonable discretion.

6. Intellectual Property

You retain rights to content you post. By posting you grant PHX a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content on the Platform. Music streaming rights are governed separately by the Artist Distribution Agreement below.

7. Disclaimers & Liability

The Platform is provided "as is." To the maximum extent permitted by law, PHX disclaims all warranties and limits its aggregate liability to the greater of $100 or the amount you paid PHX in the prior 12 months.

8. Governing Law

These Terms are governed by Arizona law. Disputes will be resolved in the state or federal courts of Maricopa County, Arizona.

9. Changes

We may update these Terms; material changes will be announced in-app at least 14 days before taking effect.

We do not sell your personal information. We do not share listening data with advertisers. Artists see aggregate stats (stream counts, listener counts) — never your identity tied to your listening.

You can request account deletion and data export by contacting [email protected]. Push notifications are opt-in and can be disabled in your browser/device settings anytime.

DMCA / Copyright Policy

PHX respects copyright and responds to notices under the Digital Millennium Copyright Act (17 U.S.C. § 512).

Filing a takedown notice

Send notices to our Designated Agent: [email protected] (postal address to be registered with the U.S. Copyright Office prior to public launch). Include: (1) identification of the copyrighted work; (2) the URL/location of the infringing material on PHX; (3) your contact information; (4) a good-faith statement that use is unauthorized; (5) a statement under penalty of perjury that the notice is accurate and you are authorized to act; (6) your physical or electronic signature.

Counter-notices & repeat infringers

Uploaders may file counter-notices with equivalent statutory content. PHX terminates repeat infringers' accounts and removes their catalog.

Artist Distribution Agreement

Agreed electronically each time an artist submits a track ("clickwrap"). Version 1.0 — July 2026.

1. Grant of Rights

You grant PHX a non-exclusive, worldwide license to reproduce, transcode, publicly perform, and stream the submitted recordings and associated artwork/metadata on the Platform. You keep full ownership of your masters and compositions. You may distribute your music anywhere else — PHX never demands exclusivity.

2. Your Warranties

You represent that you own or control all rights needed to grant this license (including features, samples, and production), and that submissions contain no infringing, unlawful, or falsely-attributed material. You will indemnify PHX against claims arising from a breach of these warranties.

3. Review & Removal

Submissions are reviewed before going live (typically 24–48 hours). PHX may decline or remove content that violates the Community Rules, this Agreement, or applicable law, and will honor valid DMCA takedowns. You may remove your catalog at any time with 7 days' notice; earned-but-unpaid royalties survive removal.

4. Compensation

Artists earn monthly compensation derived from the qualifying streams (30+ continuous seconds) of the listeners who play their music, as measured by PHX's systems. Earnings for each calendar month are calculated after month close and finalize and pay out 60 days after the month ends (net-60) — this window protects the pool from payment reversals, chargebacks, and streaming fraud. There is no minimum payout threshold. PHX's internal compensation formula may evolve; PHX will report your streams, listeners, and earnings transparently in the artist dashboard.

5. Streaming Fraud

Streams that PHX reasonably determines to be artificial (bots, scripts, coordinated manipulation, self-streaming schemes) do not earn compensation, may be clawed back if already credited, and may result in catalog removal and account termination.

6. Taxes

Artists are independent parties, not employees. You are responsible for your own taxes; PHX will collect a W-9 (or W-8 series) before releasing payouts and will issue 1099s where required by U.S. law.

7. Term & Termination

This Agreement continues per-track while your music remains on the Platform. Sections 2, 4 (accrued amounts), 5, and 6 survive termination. Arizona law governs.
